• The International Finance Corporation(“IFC” or the “Purchaser”) has been designated by the Instituto Costarricensede Puertos del Pacífico (“INCOP” or the “Client”) to act solely as leadtransaction advisor to INCOP in the structuring and implementation of aPublic-Private Partnership (“PPP”) for the Modernization of Infrastructure andEquipment at Caldera Port (the “Project”). IFC-s role is limited to advisingINCOP and managing the team of technical consultants to support INCOP incarrying out its responsibilities as the contracting and operational authorityfor the Project. INCOP currently holds the followingconcession contracts for the terminals at Caldera Port, which are set to expirein August 2026 after a duration of 20 years:· A Public Works ConcessionContract with Public Services for the Construction and Operation of the BulkTerminal at Caldera Port with Sociedad Portuaria Granelera de Caldera S.A.("SPGC").· A Public Services ManagementConcession Contract for the Terminal at Caldera Port signed with SociedadPortuaria de Caldera S.A. ("SPC").On October 30, 2024, INCOP initiated thebidding process for a new concession related to the Modernization ofInfrastructure and Equipment at Caldera Port (No. 2024-LY-CAL-000001-INCOP), insearch of a new concessionaire to oversee the design, construction, financing,operation, and maintenance of the port for a 30-year period. The awardingprocess is anticipated to take place in February 2026.In its capacity as the lead advisor for thePPP project, IFC intends to appoint a Technical Consultant (the “Consultant”),who will conduct the support activities related to the Transition Unit (the“TU”) to assist INCOP in coordinating the incumbent-s exit and facilitating thereception of the new concessionaire.The Consultant is tasked with executing the requiredactivities for the TU, facilitating a seamless transition between the currentservice providers in Puerto Caldera and the incoming concessionaire.
